Purpose

These Terms of Business explain how Swag Hut supplies products and services to customers. They outline the responsibilities of both Swag Hut and the customer in relation to quotations, orders, branding, payment, delivery, inventory, complaints and liability.

Orders & Quotations

• All quotations, proposals and pricing are subject to confirmation by Swag Hut.
• Orders are only accepted once confirmed in writing by Swag Hut.
• Prices, lead times and stock availability may change before order confirmation.
• Orders may not be cancelled once production or sourcing has commenced without approval from Swag Hut.
• Customers are responsible for ensuring all order details, quantities, sizes, delivery information and specifications are accurate.

Artwork, Branding & Decoration

• Customers are responsible for approving all artwork, spelling, colours and branding before production begins.
• Digital proofs are visual guides only and may not exactly represent the final printed product.
• Minor variations in colour, print positioning, sizing and finish are considered acceptable industry tolerances.
• Swag Hut is not responsible for copyright, trademark or usage rights relating to supplied artwork.
• Swag Hut reserves the right to refuse artwork considered unlawful, offensive or inappropriate.

Pricing, VAT & Additional Charges

• All prices are exclusive of VAT unless otherwise stated.
• Shipping, customs duties, taxes and import charges will apply depending on the destination country.
• Swag Hut reserves the right to adjust pricing prior to order confirmation where supplier, freight or currency costs increase unexpectedly.
• Minimum order quantities may apply to certain products or suppliers. Swag Hut has a general MOQ of 50.
• Additional charges may apply for urgent deliveries, storage, special handling or distribution services.

Delivery & Shipping

• Delivery dates are estimates unless specifically confirmed in writing.
• Swag Hut is not liable for delays caused by suppliers, freight providers, customs, weather events or circumstances outside of its control.
• Customers must ensure delivery information is complete and accurate.
• Risk transfers to the customer once goods are delivered, collected or made available for dispatch.
• Customers must inspect goods promptly upon receipt and notify Swag Hut of any issues within 8 days.

Inventory & Storage

• Swag Hut can provide inventory storage services subject to additional fees.
• Customers remain responsible for inventory held on their behalf.
• Inactive or slow-moving inventory may incur additional storage charges.
• Customers may be requested to arrange shipment, collection or disposal of inactive inventory.
• Swag Hut reserves the right to dispose of unclaimed inventory after reasonable notice has been provided.

Payment Terms

• Payment may be required in advance before production or dispatch unless approved credit terms are in place.
• Orders will not enter production until payment or agreed payment arrangements have been confirmed.
• Swag Hut reserves the right to request deposits, part-payments or payment security.
• Late payments may result in supply being suspended or credit facilities withdrawn.
• Interest, recovery costs and collection charges may apply to overdue accounts.

Complaints, Warranty & Returns

• Customers must notify Swag Hut of shortages, damages or visible issues within 8 days of receipt.
• Supporting evidence, including photographs, may be required to assess claims.
• Swag Hut may replace, credit or refund affected products at its discretion.
• Claims relating to customer-approved artwork, misuse, incorrect storage or external damage are excluded.
• Warranty claims may not apply where products have been altered, incorrectly handled or used outside their intended purpose.

Complaints, Warranty & Returns

• Swag Hut’s liability relating to products or services supplied is limited to the value of the affected order.
• Swag Hut is not liable for indirect or consequential losses including loss of profit, business interruption, event cancellation or reputational damage.
• Customers are responsible for ensuring products are suitable for their intended use and comply with local regulations in their market.
• Once products are delivered or made available for dispatch, responsibility for storage, handling and insurance passes to the customer.
• Nothing within these terms excludes liability where such exclusion is prohibited by law.

Force Majeure

• Swag Hut will not be held responsible for delays or failures caused by events outside its reasonable control.
• This includes supplier shortages, transport disruption, strikes, pandemics, natural disasters, customs delays or government restrictions.
• Where such events occur, delivery dates and obligations may be extended accordingly.

General

• These Terms of Business are governed by Irish law.
• Swag Hut reserves the right to update these terms periodically.
• The latest approved version of these terms will apply to future orders and services.
• Any exceptions to these terms must be agreed in writing by Swag Hut Management.
